How Should The Contract Be Worked Out?

The seller: a person who is a member of a company.

The buyer: the company is a company.

In connection with the sale of machinery, we have reached the following agreement:

Article 1. Party A and Party B agree on the sale of the postscript machine. Party A sells and Party B buys.

The total amount of the second purchases and sales is $.

Party B shall pay the payment to Party A in the following ways.

(1) today (contract date), the deposit is first paid.

(2) the machine must be installed in the factory where Party B is located.

The remaining money not paid by Party B will be paid once as soon as the delivery is delivered.

Third party A shall pay the balance of the second party item (2) and pfer the ownership of the postscript machine to Party B.

Article fourth if Party A fails to deliver the machine to Party B, if it fails, damages or loses, it shall be responsible by Party A, that is, Party B's obligation to waive the payment price.

Fifth Party A guarantees that the performance of the postscript machine is consistent with the instruction manual, and it is necessary to test the machine before the third delivery, so as to prove its performance.

Sixth the quality and performance of the postscript machine shall be guaranteed by Party A to Party B and shall be limited to three years.

During this period, if there is a natural fault without fault of Party B, Party A has the obligation to compensate for loss and repair.

Seventh if there are sixth cases, Party A may make a request to Party A according to the following ways, though it is repaired by Party A and the machine is still unable to operate or its performance is reduced for one month.

(1) in exchange for the same kind of machine.

The condition is that Party B will have to use the machine for a long time.

Every year Party B shall pay 1/5 of the total amount of Party A equivalent to second.

(2) return the machine.

However, Party A shall deduct the sum of the other 1 of the Party B's use of the machine and refund the remaining deposit to Party B.

When calculating the time of using the machine, the calculation method shall be applied to the third party A from the date of the delivery of the machine until Party B returns the machine.

Eighth if Party B fails to pay the balance before the second date to exchange the machine, Party A will not have to rush the notice. The contract is deemed to be void. Party A has to move the machine back.

About the foregoing Party A

The cost of installation and all expenses required to move back shall be borne by Party B.

In addition to the above rights, Party A may still confiscate the deposit as compensation for damages.

Ninth if Party A fails to deliver the machine before the date laid down in the second clause, Party B shall inform the Party A and deliver the machine within ten days.

During this period, if Party A is still unable to deliver, this will be the case.

Be deemed as useless.

Party B must ask Party A to return second deposit and compensation for the same amount with the deposit.

The tenth way to settle disputes in contracts: the disputes arising from the execution of this contract shall be settled through consultation between the two parties. The local government should also mediate the disputes between the two sides.

(1) to submit the arbitration to the Arbitration Commission;

(two) bring a lawsuit to the people's court according to law.
